GettaGrip (Grip2ü) Minimum Advertised Price (MAP) Policy

1. Introduction

Grip2ü, a division and proprietary brand of GettaGrip dba Challenger Cable Sales, Inc. creates and designs

unique products for the telecommunications industry. Our focus is to provide the highest quality and premium

features in mobile device accessories that allow people to protect their devices by preventing the drop. Grip2ü’s

goal in establishing this policy is to avoid degradation of, or damage to, the premium quality and image of its

Covered Products (as defined below) and to the trademarks, other marks, brands or trade names under which

its Covered Products are sold. Grip2ü intends to sell these Covered Products only to Distributors/Resellers

that do not advertise Covered Products below the Minimum Advertised Price (“MAP”) set forth in this MAP

Policy.

We recognize that our success is tied to the success of our network of authorized dealers and resellers. We also

know that many of our resellers invest significant time and resources to deliver an extraordinary customer

experience. We want to protect their ability to do so, while at the same time discouraging price- based advertising

that would be detrimental to our reseller's service and support efforts. As a result, Grip2ü has unilaterally

established this MAP Policy as detailed below.

2. Policy Statement

Grip2ü believes in maintaining a well-regulated and fair marketplace for all its authorized resellers.

Grip2ü, in its sole discretion, reserves the right to discontinue doing business with any reseller that

consistently advertises any product(s) covered by this MAP Policy at a price lower than the MAP.

The MAP for each Covered Product shall be the price designated as the Manufacturer’s Suggested Retail Price

(“MSRP”). Current price lists may be obtained by contacting a Grip2ü sales representative. The MAP for one

or more products may be amended from time to time when the Manufacturer’s Suggest Retail Price (MSRP) is

amended, and may be suspended periodically for national promotions sponsored by Grip2ü. Grip2ü reserves

the right to adjust or amend MSRP or MAP at any time and for any reason including, but not limited to, online

promotions and seasonal discounts.

3. General Guidelines

The products covered by this policy are listed in Section 6, (“Covered Products”). Grip2ü may in its

sole discretion modify this list at any time.

Grip2ü will exercise its right to make its own decisions regarding Grip2ü’s reseller programs, supplemental

marketing materials, point-of- purchase displays, product allocation, new product availability, or future

promotional, joint marketing, or sponsorship programs.

4. Advertising Guidelines

The MAP Policy applies to all advertisements of Covered Products in any and all media, including but not

limited to flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, television, radio, and public

signage, as well as Internet sites, social media sites, apps, or any other electronic media.

The MAP Policy does not apply to solely on premise or in-store advertising that is not distributed to customers.

The MAP Policy does not require resellers to include prices in its advertisements, nor does it apply to statements

such as “call for price” or “call for quote,” which are acceptable and permitted.

Advertisements featuring a Covered Product as part of a multi-product bundle will comply with this MAP

Policy so long as the price in the advertisement is not lower than the Covered Products’ MAP.

5. Policy Enforcement

If a reseller with multiple store locations violates this MAP Policy at any one store location, or on any

associated website, then Grip2ü will consider this to be a violation by the reseller.

If a reseller is in violation of this MAP Policy, Grip2ü reserves the right, but is not limited to, imposing

the following sanctions:

1) Notify the reseller of the non-compliant advertisement with a reminder of Grip2ü’s MAP Policy;

2) Adjust any planned or future marketing, promotional, product allocation and sponsorship programs;

3) Cancel any pending orders, and suspend the reseller’s right to sell part of or the entire Grip2ü product

portfolio for a period of time (e.g., thirty (30), forty-five (45) or ninety (90) days) depending on the

breadth and severity of the MAP Policy violation, commencing from the date of notice from Grip2ü;

4) Terminate the Distributor/Reseller Agreement or other relevant agreement between Grip2ü and the

member of the distribution network who has violated this MAP Policy.

Grip2ü is solely responsible for determining whether a violation of the MAP Policy has occurred, as well as

determining appropriate sanctions. This policy is managed and monitored by a dedicated Grip2ü employee.

Other Grip2ü, or GettaGrip, Sales, Marketing, or other personnel are not authorized to modify or grant

exceptions to the MAP Policy

The MAP Policy will be enforced by Grip2ü in its sole discretion and without notice. Grip2ü will make all

decisions concerning compliance with and enforcement of this MAP Policy unilaterally. This MAP Policy does

not reflect or constitute an agreement between Grip2ü and any Distributor/Reseller, any other authorized

distributor, or any other person or entity, and by issuing this policy Grip2ü is not seeking any such agreement.

Grip2ü reserves the right to unilaterally modify, suspend, or cancel the MAP Policy, or modify any or all

MAPs at any time, and will provide notice of any such modifications only upon request.
